By accessing or using the Website or the Platform, you confirm that you have read, understood and agree to be legally bound by these Terms & Conditions.
Please read these Terms & Conditions carefully before creating an account, submitting a project request, ordering Services, uploading materials or otherwise using the Platform.

Company means PINK CIRCLE LIMITED, company number 15647366, with its registered office at 3 Lombard Street, London, England, EC3V 9AA, acting as the operator of the Platform. User means an individual who accesses or uses the Website or Platform, creates an account, submits a project request, orders Services or otherwise interacts with the Platform. A User may act in a personal capacity or as an authorised representative of a business, company, organisation or other legal entity. A legal entity does not itself become an account holder or User.

Services means visual marketing services offered and performed independently by Independent Service Performers through the Platform, including Services within the categories of Logos & Branding, Typography & Icons, Illustrations & Graphics, Infographics & Data and Web & Social Media.
Independent Service Performer means an independent third-party professional who offers and performs Services through the Platform on their own behalf. Project Materials means documents, images, instructions, specifications, video files used as supporting or reference material, and other information submitted or exchanged in connection with a Project.

1. Scope of the Services
The Platform operates as an online marketplace through which Users may explore visual marketing Services, submit Project requirements and connect with Independent Service Performers whose expertise may be relevant to those requirements.
PINK CIRCLE LIMITED operates and maintains the Platform and provides the technical and administrative infrastructure that supports interactions between Users and Independent Service Performers. The Company does not itself create or provide the visual marketing Services offered through the Platform.
Services are provided independently by Independent Service Performers acting on their own behalf. Nothing in these Terms & Conditions creates an employment, agency, partnership or joint venture relationship between the Company and an Independent Service Performer.
The Platform may provide functionality for account management, service discovery, Project requests, communications, exchange of Project Materials, ordering, payment-related processes and other features reasonably required to facilitate marketplace interactions.
The scope, specifications, price and estimated completion time of a Project may vary according to the relevant Service, Project requirements, materials supplied by the User, level of customisation and the applicable offering of the Independent Service Performer. Relevant pricing and delivery information may be displayed through the relevant Service listing, Project request or other applicable Platform process.
Services available through the Platform may include Logos & Branding, such as logos, visual identity systems and brand guidelines; Typography & Icons, such as font pairings, typographic systems and icon sets; Illustrations & Graphics, such as custom illustrations and graphic assets; Infographics & Data, such as infographics, diagrams and visual representations of information; and Web & Social Media, such as static web banners, social media templates, thumbnails and other static digital marketing visuals.
The Platform focuses on static visual Deliverables. Users may upload video files solely where relevant as supporting or reference material for a Project. Video production and video editing are not offered as Services or final Deliverables through the Platform.
Unless otherwise agreed for a particular Project, Deliverables are intended for lawful commercial, promotional, editorial, educational or internal business purposes. The Platform does not provide legal, accounting, regulatory, certification, notarial or other regulated professional advisory services.
The Company does not guarantee that any Deliverable will be accepted, approved, displayed or published by any third-party website, advertising platform, social network, marketplace or other external service.
Users are responsible for ensuring that their Project requests, Project Materials, instructions and intended use of Deliverables comply with applicable law, intellectual property rights, contractual obligations and relevant third-party requirements.
2. Acceptance of Terms
By accessing or using the Website or Platform, creating an account, submitting a Project request, ordering Services, uploading Project Materials or otherwise using Platform functionality, you acknowledge that you have read, understood and agree to be bound by these Terms & Conditions.
These Terms & Conditions apply together with the Acceptable Use Policy and any other contractual terms expressly incorporated by reference. Personal data processed in connection with the Platform is handled as described in the Privacy Policy.
These Terms apply to visitors and registered Users and, to the extent applicable to their general use of the Platform, Independent Service Performers, subject to any separate terms governing their participation in the marketplace.
Where you use the Platform as a Business Representative, you confirm that you have authority to act on behalf of the relevant business or organisation. Your account remains associated with you as the individual account holder.
If you do not agree with these Terms & Conditions or any incorporated policy, you must not use the Platform.
The Company may update these Terms & Conditions from time to time by publishing a revised version on the Website. Where required by applicable law or where a change materially affects Users' rights or obligations, the Company may provide additional notice by email, account notification or another reasonable method.
Unless otherwise stated, revised Terms become effective upon publication or on the effective date specified in the updated version. Continued use of the Platform after the revised Terms take effect constitutes acceptance of the updated Terms. If you do not agree with an amendment, you must discontinue use of the affected Platform functionality.
3. Account Registration, Verification and Eligibility
Certain Platform features require you to create a personal account. You must provide accurate, complete and current information and keep your account details up to date.
Each account must belong to an identifiable individual. You may use the Platform in your personal capacity or as an authorised representative of a business, company, organisation or other legal entity, provided that you have the authority to act on its behalf. A business or other legal entity does not itself become an account holder merely because you use the Platform on its behalf.
You must not create an account using false or misleading information, another person's personal information without lawful authority, or temporary or disposable contact details intended to conceal your identity.
You are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account. You must promptly notify the Company if you become aware of unauthorised access to or use of your account.
The Platform may require verification of your email address before certain functionality becomes available. You are responsible for maintaining a valid and accessible email address capable of receiving Platform communications.
Where reasonably necessary for account security, fraud prevention, compliance or verification purposes, the Company may request additional information relating to your identity or account details. Failure to complete required verification may result in restrictions on Platform functionality or suspension of the account.
By using the Platform, you confirm that you have reached the legal age of majority applicable to you, have the legal capacity to enter into binding agreements and are permitted to use the Platform under applicable law.
You must use the Platform only for lawful and authorised personal or business-related purposes. Where you act as a Business Representative, you remain the individual User responsible for your account and for ensuring that you have appropriate authority to act for the relevant business or organisation.
The Company may suspend, restrict or terminate an account where it reasonably believes that account information is materially false, misleading or unverifiable, required verification has not been completed, the account has been compromised, or the Platform is being used in breach of these Terms & Conditions or applicable law.
4. Fraud Prevention and Platform Security
The Company may implement reasonable technical, operational and organisational measures to protect the Platform, Users, Independent Service Performers and third-party service providers against fraud, unauthorised access, payment abuse, security threats and other unlawful or suspicious activity.
Where the Company reasonably identifies suspected fraud, unauthorised account use, materially false information, payment irregularities, disputed or suspicious transactions, misuse of the Platform or other activity presenting material legal, financial or security risk, it may take proportionate protective measures.
Such measures may include requesting additional verification, temporarily restricting account functionality, suspending access to the Platform, preventing or cancelling a pending transaction where permitted, or terminating an account in accordance with these Terms & Conditions.
The Company may also act on relevant information received from payment service providers, financial institutions, security systems or competent authorities. Nothing in this section prevents the Company from cooperating with competent authorities where required by applicable law.
Users must not attempt to gain unauthorised access to the Platform, another user's account or connected systems, interfere with Platform security or availability, introduce malicious code, circumvent technical safeguards or otherwise compromise the proper operation of the Platform.
The Company may refuse or restrict access to the Platform where reasonably necessary to prevent fraud, protect Platform security, enforce these Terms & Conditions or comply with applicable law.
5. User Responsibilities and Prohibited Activities
You are responsible for your use of the Platform and must use it only for lawful, legitimate and authorised purposes in accordance with these Terms & Conditions, the Acceptable Use Policy and applicable law.
You must ensure that all Project requests, instructions, trademarks, logos, images, text, references, video files used as supporting or reference material, and other Project Materials submitted through the Platform are accurate, lawful and provided with all necessary rights, licences, permissions and authority. The Company is not responsible for independently verifying ownership of or rights in materials submitted by Users.
You must not use the Platform to request, upload, create, facilitate or distribute material that is unlawful, fraudulent, deceptive, defamatory, threatening, discriminatory, hateful, obscene, exploitative or otherwise prohibited by applicable law or the Acceptable Use Policy. You must not use the Platform for infringement of intellectual property or privacy rights, impersonation, falsification of documents or identities, deceptive commercial practices, fraud, money laundering, sanctions evasion or other unlawful activity.
You must not interfere with the security, integrity, availability or proper operation of the Platform. This includes attempting unauthorised access to accounts or systems, introducing malicious code, phishing, credential harvesting, unauthorised scraping or automated access, denial-of-service activity, spam or other conduct intended to disrupt or misuse the Platform.
You are responsible for reviewing and using any Deliverables in accordance with applicable law, advertising requirements, intellectual property rights, contractual obligations and relevant third-party platform requirements. The availability of a Service or completion of a Project through the Platform does not relieve you of responsibility for the manner in which a Deliverable is subsequently used, published or distributed.
You agree to provide reasonable cooperation where necessary for account verification, fraud prevention, compliance reviews, security matters, Project-related administration or investigation of suspected breaches of these Terms & Conditions.
Where the Company reasonably believes that your account or activity breaches these Terms & Conditions, the Acceptable Use Policy or applicable law, or presents a material security, fraud or compliance risk, it may restrict or suspend Platform functionality, cancel or prevent pending transactions where appropriate, terminate access to the Platform or take other proportionate measures permitted by applicable law.
The Company may retain relevant records and cooperate with payment service providers, competent authorities or other relevant parties where required by applicable law or reasonably necessary to investigate suspected fraud, security incidents or unlawful use of the Platform.
6. Nature and Limitations of the Services
Services available through the Platform involve professional and creative judgement by Independent Service Performers. Visual outcomes may therefore vary depending on the Project requirements, materials and instructions provided by the User, the agreed scope and the professional approach of the relevant Independent Service Performer.
Unless particular specifications or requirements have been expressly agreed for a Project, differences in artistic style, visual interpretation, composition, presentation or other subjective characteristics do not by themselves establish that a Service has not been performed in accordance with the agreed scope.
Users are responsible for providing sufficiently accurate and complete Project requirements and for reviewing relevant Project specifications before work proceeds. Independent Service Performers are responsible for performing the Services they agree to provide in accordance with the applicable Project requirements and their obligations under the Platform terms.
PINK CIRCLE LIMITED operates the marketplace and may apply reasonable technical, administrative, moderation and compliance procedures in connection with Platform activity. Such procedures do not make the Company the provider of the underlying creative Services and do not constitute supervision of an Independent Service Performer as an employee, worker or agent.
The Company does not guarantee that any Service or Deliverable will satisfy subjective aesthetic preferences or achieve a particular commercial, promotional, branding, engagement, conversion, audience or other business result.
The Company also does not guarantee acceptance, publication or approval of any Deliverable by third-party websites, social networks, advertising services, marketplaces, publishers or other external platforms. Users remain responsible for confirming any technical, content or policy requirements imposed by such third parties before using a Deliverable.
7. Platform Operation and Website Information
PINK CIRCLE LIMITED operates and administers the Platform and may, where reasonably necessary and subject to applicable law, modify, restrict, suspend or discontinue any part of the Platform for operational, technical, security, legal, compliance or legitimate business reasons.
Project-related information, communications, instructions, files and other materials submitted through the Platform may be transmitted through electronic communications networks and processed or adapted where technically necessary to provide Platform functionality across different systems, devices and service providers. The handling of personal data is further described in the Privacy Policy.
Payments made through the Platform are processed by authorised third-party payment service providers. The Company does not provide banking, payment, e-money, money transmission or escrow services, does not maintain User balances and does not hold funds on behalf of Users or Independent Service Performers. Full payment card details are processed by the relevant payment service provider and are not intended to be retained by the Company.
Information published on the Website, including descriptions of Services, examples of visual work, estimated delivery information, pricing indications and other marketplace content, is provided for general informational purposes and may vary according to the relevant Project, Independent Service Performer and agreed requirements.
The Company may update, correct, replace or remove Website content where reasonably necessary. Unless expressly confirmed as part of a specific Project or transaction, Website content does not constitute a guarantee that a particular Service, Independent Service Performer, price, delivery timeframe or outcome will remain continuously available.
Users are responsible for reviewing the information applicable to a particular Service or Project before placing an order or entering into a Project arrangement.
Except where permitted by these Terms & Conditions, applicable law or the relevant rights holder, you must not reproduce, distribute, modify, commercially exploit or otherwise misuse the Company's Website content, software, branding or other proprietary Platform materials. This restriction does not transfer to the Company any ownership of Project Materials, Deliverables or other content belonging to Users or Independent Service Performers.
Headings in these Terms & Conditions are for convenience only and do not affect their interpretation.
8. Service Availability, Changes and Pricing
Services are offered through the Platform by Independent Service Performers and are subject to availability. The Company does not guarantee the continuous availability of any particular Independent Service Performer, Service, marketplace category or Platform feature.
The Company may modify the structure, functionality or categories available through the Platform, introduce new marketplace features or discontinue existing functionality where reasonably required for operational, technical, commercial, security, legal or compliance reasons.
Descriptions, examples, specifications, estimated delivery periods and other Service-related information displayed on the Website are general descriptions unless expressly incorporated into the agreed terms of a particular Project. Where Project-specific requirements have been agreed, those requirements will govern the relevant Services to the extent they are consistent with these Terms & Conditions and applicable law.
Prices displayed through the Platform may vary according to the Service, Independent Service Performer, Project scope, complexity, level of customisation, delivery requirements and other relevant factors. A price becomes applicable to a particular transaction when it is confirmed through the applicable Platform transaction or Project process.
The availability or display of a price does not guarantee that the same price will apply to future Projects or remain available indefinitely. Changes to future pricing do not affect transactions already confirmed, except where an adjustment is agreed by the relevant parties or required by applicable law.
The Company does not guarantee that any specific Project request will be accepted by an Independent Service Performer. Where a Service or Project cannot proceed, any applicable cancellation or refund rights will be determined in accordance with these Terms & Conditions and applicable law.
9. Intellectual Property and Usage Rights
Users retain ownership of intellectual property rights in Project Materials they submit to the Platform, subject to any rights held by third parties. By submitting Project Materials, you confirm that you own them or have all rights, licences, permissions and authority necessary to use them and to permit their use for the relevant Project.
You grant the Company and the relevant Independent Service Performer a limited right to access, use, reproduce and process Project Materials solely to the extent reasonably necessary to operate the Platform, facilitate the relevant Project interaction and enable the relevant Independent Service Performer to perform the agreed Services. This permission does not transfer ownership of your Project Materials to the Company.
Subject to full payment of all applicable fees and any Project-specific terms, the relevant Independent Service Performer grants the User a non-exclusive, worldwide right to use the final Deliverables for their intended lawful commercial, promotional, editorial, educational, business or internal purposes, unless broader, exclusive or different rights are expressly agreed for the relevant Project.
Unless expressly agreed otherwise, the rights granted in final Deliverables do not include ownership of or access to source files, editable working files, drafts, preliminary concepts, unused proposals, methodologies, templates, production materials or other working materials of the Independent Service Performer.
PINK CIRCLE LIMITED does not represent or warrant that any name, logo, slogan, design, illustration, typographic arrangement or other Deliverable is available for trademark registration, exclusive use or unrestricted exploitation, or that no similar or conflicting third-party rights exist. Users are responsible for obtaining appropriate legal or intellectual property clearance where registration or exclusive use is important to them.
The Company does not acquire ownership of Deliverables merely because they are created, exchanged or delivered through the Platform. Rights in Deliverables are determined by these Terms & Conditions, the applicable Project terms and any rights retained or granted by the relevant Independent Service Performer.
The Company may retain Project records and copies of relevant materials where reasonably necessary for Platform administration, fraud prevention, compliance, dispute resolution or the establishment, exercise or defence of legal claims, subject to the Privacy Policy, applicable confidentiality obligations and data protection law.
10. Third-Party Services and External Links
The Platform may contain links to, integrations with or references to third-party websites, applications, payment service providers or other external services operated independently of PINK CIRCLE LIMITED.
The inclusion of a third-party link, integration or reference does not by itself constitute an endorsement or guarantee by the Company. Third-party services are governed by their own terms, privacy policies and operational rules, and the Company does not control their availability, security, content or independent activities.
If you access or use a third-party service through or in connection with the Platform, you do so subject to the terms applicable to that third party. The Company is not responsible for transactions, content, communications or data processing carried out independently by third parties outside the Platform, except to the extent responsibility cannot lawfully be excluded.
Payment transactions are processed by authorised third-party payment service providers as described elsewhere in these Terms & Conditions. The Company does not provide regulated payment, banking, e-money, money transmission or escrow services and does not maintain User or Independent Service Performer balances.
11. Personal Data
The collection and processing of personal data in connection with the Website and Platform are governed by the applicable Privacy Policy published on the Website.
The Privacy Policy explains, among other matters, the categories of personal data processed, the purposes and lawful bases for processing, relevant recipients or service providers, applicable retention practices and the rights available to individuals under applicable data protection law.
By using the Platform, you acknowledge that personal data relating to your use of the Website, account, Projects, communications and transactions may be processed as described in the Privacy Policy and in accordance with applicable data protection requirements.
Where you submit personal data relating to another individual through Project Materials or otherwise, you are responsible for ensuring that you have an appropriate lawful basis or other authority to provide that information for the relevant purpose.
12. Disclaimer and Limitation of Liability
The Platform is provided on an "as is" and "as available" basis, subject to these Terms & Conditions and any rights that cannot lawfully be excluded. The Company does not guarantee that the Platform will always be uninterrupted, error-free, secure or continuously available.
Temporary interruptions may occur as a result of maintenance, technical changes, security measures, third-party service interruptions or circumstances beyond the Company's reasonable control.
Services and Deliverables made available through the Platform are provided by Independent Service Performers. PINK CIRCLE LIMITED does not warrant or guarantee the artistic quality, subjective suitability or commercial effectiveness of any particular Service or Deliverable, nor does it guarantee that any Independent Service Performer will be continuously available.
To the fullest extent permitted by applicable law, the Company shall not be liable for indirect or consequential losses, or for loss of profits, revenue, business opportunity, anticipated savings, goodwill or reputation arising from use of or inability to use the Platform.
The Company is not responsible for loss or damage resulting from a User's unlawful use of Project Materials or Deliverables, failure to obtain necessary permissions or intellectual property clearance, failure to comply with third-party platform requirements, or acts or omissions of Independent Service Performers except to the extent liability is imposed on the Company by applicable law.
Nothing in these Terms & Conditions excludes or limits liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability or statutory right that cannot lawfully be excluded or limited.
Where the User is acting as a consumer, nothing in these Terms & Conditions affects any mandatory rights available under applicable consumer protection law.
13. Suspension and Termination
These Terms & Conditions remain applicable for as long as you access or use the Platform. You may stop using the Platform at any time and may request closure of your account in accordance with the available account procedures.
The Company may restrict, suspend or terminate access to an account or Platform functionality where it reasonably believes that the User has materially breached these Terms & Conditions or the Acceptable Use Policy, engaged in fraudulent or unlawful activity, failed to complete required verification, compromised Platform security or otherwise created a material legal, compliance or security risk.
Where reasonably appropriate, the Company may also prevent new transactions, cancel pending Platform activity or restrict future use. Any action taken under this section must remain subject to applicable law and any rights relating to confirmed Projects or payments.
Suspension or termination does not extinguish rights, payment obligations or liabilities that arose before the effective date of suspension or termination. Provisions which by their nature are intended to continue, including provisions relating to intellectual property, outstanding payments, confidentiality, liability, dispute resolution and applicable law, shall survive termination.
Account closure does not require the Company to delete information that it is required or permitted to retain for legal, regulatory, fraud-prevention, security, accounting or dispute-resolution purposes. Personal data will be handled in accordance with the Privacy Policy.
14. Delivery, Review and Complaints
Final Deliverables are provided electronically by the relevant Independent Service Performer through the Platform or another delivery method made available or agreed in connection with the Project.
A Project will generally be treated as delivered when the agreed final Deliverables have been made available to the User through the relevant Platform functionality, unless a different delivery arrangement has been agreed for that Project.
Any delivery timeframe displayed or communicated through the Platform is an estimate unless expressly confirmed as a fixed deadline. Delivery timing may depend on Project scope, complexity, the completeness of User instructions and Project Materials, response times, agreed revisions, changes to Project requirements, technical interruptions and other circumstances affecting performance.
Independent Service Performers are responsible for delivering the Services they agree to perform. The Company may facilitate Platform communications, notifications and access to Deliverables but does not itself create or deliver the underlying visual marketing work.
Users should review Deliverables promptly after delivery and raise any material issue through the Platform or the support contact published on the Website. A complaint should identify the relevant Project and provide sufficient information to explain the issue, including relevant communications or supporting materials where appropriate.
Users are encouraged to submit Project-related complaints within fourteen (14) calendar days after delivery so that the relevant circumstances can be reviewed efficiently. This period does not limit any mandatory statutory rights or remedies that apply under applicable law.
A complaint may relate to matters such as incomplete delivery of the agreed scope, failure to provide an agreed Deliverable or a material deviation from documented Project requirements. A difference based solely on subjective aesthetic preference will not necessarily establish that the agreed Service was not performed.
The Company may review available Platform records, Project requirements, communications, revision history and other relevant information for the purpose of administering or facilitating the complaint process. It may also request additional information from the User or Independent Service Performer.
Where appropriate, the Company may facilitate communication between the parties or administer any Platform remedy expressly available under these Terms & Conditions or the applicable Project terms. Any revision, replacement, cancellation, refund or other financial remedy remains subject to the agreed Project terms, the applicable refund provisions, the actions of the relevant Independent Service Performer, the payment process and applicable law.
Submitting a complaint does not automatically suspend payment obligations or create an automatic entitlement to a refund.
15. Independent Service Performers
Services available through the Platform are offered and performed by Independent Service Performers acting independently and on their own behalf.
Unless expressly stated otherwise in the applicable Project-specific terms, any contract for the underlying Services is entered into between the User and the relevant Independent Service Performer. PINK CIRCLE LIMITED is not a party to that contract solely by operating the Platform or facilitating the Project.
Independent Service Performers are not employees, workers, agents, partners, representatives or authorised signatories of PINK CIRCLE LIMITED. Nothing in these Terms & Conditions or in an Independent Service Performer's participation in the Platform creates an employment, agency, partnership, joint venture or similar relationship with the Company.
The Company operates the marketplace infrastructure and may provide functionality for service discovery, Project requests, communications, file exchange, payments and other Platform-related processes. The Company does not employ, assign or supervise Independent Service Performers as members of its internal creative team and does not itself perform the underlying visual marketing Services.
Users are responsible for selecting and interacting with Independent Service Performers through the Platform. The availability of a particular Independent Service Performer or their acceptance of a particular Project is not guaranteed.
Independent Service Performers remain responsible for the Services they agree to provide, including compliance with the agreed Project requirements and any obligations applicable to them through the Platform.
Additional requirements governing participation by Independent Service Performers, including application, verification, professional information, account management, remuneration and other obligations, are governed by separate terms applicable to Independent Service Performers.
16. Payments, Revisions and Refunds
Where payment is required for a Service, the applicable price and payment information will be presented through the relevant Platform process before the transaction is confirmed.
Payments are processed through authorised third-party payment service providers. PINK CIRCLE LIMITED does not provide banking, payment, e-money, money transmission or escrow services, does not maintain User or Independent Service Performer balances and does not hold funds on behalf of Users or Independent Service Performers.
Users must provide accurate and current billing and payment-related information. A transaction may be refused, delayed or cancelled where payment authorisation fails, required verification is not completed or activity reasonably appears fraudulent, unauthorised or otherwise inconsistent with these Terms & Conditions.
Available payment methods and currencies may depend on the relevant third-party payment service provider, jurisdiction, technical availability and applicable legal requirements. The Company may modify available payment functionality for future transactions without affecting payments already validly completed, except where required by applicable law.
Any revision entitlement applicable to a Project will depend on the Service purchased, the agreed Project scope and any Project-specific terms displayed or agreed through the Platform. Revision requests must remain within the agreed scope unless the User and relevant Independent Service Performer agree otherwise. New requirements, material changes in direction or additional Deliverables may require an additional order or payment.
A User may request a cancellation, refund or other remedy where a Service has not been provided as agreed, a material issue cannot reasonably be resolved, or another refund right applies under these Terms & Conditions or applicable law.
In considering a Project-related refund request, relevant circumstances may include the agreed Project scope, work completed, Deliverables provided, communications, revisions requested and the nature of the alleged issue.
A difference based solely on subjective aesthetic preference does not automatically entitle a User to a refund where the Deliverables materially comply with the agreed Project requirements.
Where a refund is approved under the applicable Project terms or Platform process, it will normally be returned through the original payment method, subject to the procedures and processing times of the relevant third-party payment service provider.
Where a User acts as a consumer, any statutory cancellation rights applicable to a distance contract remain unaffected. If the User requests that performance begin during a statutory cancellation period, any obligation to pay for Services already supplied, or any reduction or loss of a cancellation right following performance or supply of digital content, will apply only where permitted by applicable law and where any required express request, consent or acknowledgment has been obtained.
Nothing in this section limits any mandatory cancellation, refund or other consumer rights that cannot lawfully be excluded or restricted.
17. Confidentiality
Non-public Project information, instructions, communications, Project Materials and business information submitted through the Platform will be handled in accordance with these Terms & Conditions, the Privacy Policy and applicable law.
The Company may provide relevant Project information to the Independent Service Performer involved in the Project and to authorised service providers or contractors where access is reasonably necessary to operate the Platform, facilitate the relevant Project, provide technical functionality, prevent fraud or comply with legal obligations.
Users and Independent Service Performers must not misuse confidential or non-public information obtained through a Project or through access to the Platform.
The Company may retain Project-related records for periods reasonably necessary for Platform administration, security, fraud prevention, accounting, dispute resolution, legal compliance or the establishment, exercise or defence of legal claims. Personal data retention is governed by the Privacy Policy and applicable data protection law.
Confidential information may be disclosed where required by law, court order, regulatory requirement or competent authority, or where reasonably necessary to investigate fraud, security incidents, payment disputes or suspected unlawful activity.
Nothing in this section requires information to be treated as confidential where it is lawfully public, independently obtained without a duty of confidentiality or required to be disclosed by applicable law.
18. Dispute Resolution
If a dispute or disagreement arises in connection with the Platform, a Project, a transaction or these Terms & Conditions, the relevant party should first attempt to resolve the matter through the applicable complaint or support process.
A User raising a dispute should provide sufficient information to identify the relevant account or Project and clearly describe the issue, together with supporting information where reasonably available.
The Company may review relevant Platform records and, where appropriate, facilitate communications between the User and Independent Service Performer in an effort to assist with resolution. The Company's role in facilitating such communications does not make it the provider of the underlying Services or require it to determine professional or creative disputes beyond the scope of its Platform responsibilities.
Where a dispute cannot be resolved informally, each party may pursue any rights or remedies available under applicable law and through the courts or other competent dispute-resolution bodies having jurisdiction.
Nothing in these Terms & Conditions prevents a party from seeking urgent or interim legal relief where such relief is available, nor does it restrict any mandatory consumer dispute or enforcement rights applicable under law.
19. Governing Law and Jurisdiction
These Terms & Conditions and any non-contractual obligations arising out of or in connection with them, the Website or your relationship with the Company in relation to the Platform are governed by the laws of England and Wales.
Where you use the Platform for purposes relating wholly or mainly to your trade, business, craft or profession, the courts of England and Wales shall have exclusive jurisdiction over disputes between you and the Company arising out of or in connection with these Terms & Conditions, subject to any mandatory law that applies.
Where you use the Platform as a consumer, this section does not deprive you of any mandatory rights or protections available under the laws applicable to you, including any right to bring proceedings before a court having jurisdiction under applicable consumer law.
Any separate agreement or Project-specific terms governing Services between a User and an Independent Service Performer may specify the law and jurisdiction applicable to that relationship. Nothing in these Terms & Conditions requires a consumer to submit a dispute to compulsory arbitration or prevents any party from seeking urgent or interim relief where available under applicable law.
20. Force Majeure
The Company will not be responsible for delay, interruption or failure in the operation of the Platform to the extent caused by circumstances beyond its reasonable control.
Such circumstances may include natural disasters, epidemics, war, civil unrest, governmental or regulatory action, sanctions, failures of public utilities, internet or telecommunications disruption, cyber incidents, hosting or infrastructure failures, and interruptions affecting third-party technology or payment service providers.
Where such circumstances materially affect Platform operations, the Company may suspend affected functionality for as long as reasonably necessary and will use reasonable efforts to restore normal operation.
This section does not exclude or restrict any rights or liability that cannot lawfully be excluded under applicable law.
21. General Provisions
If any provision of these Terms & Conditions is found by a court or competent authority to be unlawful, invalid or unenforceable, that provision shall apply to the maximum extent permitted by law and, where necessary, be treated as severed. The remaining provisions will continue in effect.
A failure or delay by the Company in exercising any right under these Terms & Conditions does not constitute a waiver of that right.
These Terms & Conditions, together with the Acceptable Use Policy and any other contractual terms expressly incorporated by reference, constitute the contractual terms governing your use of the Platform. Personal data is processed as described in the Privacy Policy.
Project-specific terms may govern the scope, performance, pricing, delivery, revisions and intellectual property arrangements of a particular Project between the relevant User and Independent Service Performer. Such terms do not amend or override provisions governing the User's relationship with the Company unless the Company expressly agrees otherwise in writing.
Nothing in these Terms & Conditions limits any mandatory statutory rights that cannot lawfully be excluded or restricted.
22. Changes to These Terms
The Company may update these Terms & Conditions as described in Section 2. The current version and its effective date will be published on the Website.
